1. Service / Usage:
Prohibited Uses: VoIP services are generally intended for personal or business use. Prohibited activities include auto-dialing, continuous call forwarding, telemarketing, spamming, criminal harassment or broadcasting.
Fair Usage: Provider may terminate or modify service if usage is deemed excessive or inconsistent with fair use.
Resale/Transfer: The customer cannot resell or transfer the service or equipment to another party without the provider's written consent.
Equipment: The customer is responsible for the proper use and maintenance of any equipment provided by the VoIP service provider. The customer is also responsible for their own internet connectivity, network configurations including hardware and cabling, phone configurations and other customer premise equipment necessary for proper operation of the VoIP service at your location.
2. Payment and Billing:
Service Fees: The customer agrees to pay all monthly service charges, installation charges, set-up charges, usage-based charges, and other fees as outlined in the service agreement.
Payment Method: The customer is responsible for providing accurate payment information and ensuring timely payment. Payments can be made electronically via the customer portal.
Late Fees: Late payment fees in the amount of 25.00 may apply if payments are not received on time.
Refunds: Unused balances are non-refundable.
3. Service Suspension:
In the event of non-payment for a period extending beyond 30 days, Provider reserves the right to suspend service until account is current. By accepting this agreement, you waive all rights to any claims related to loss of service resulting from non-payment.
4. Liability and Disclaimers:
Provider's Liability:
Provider assumes no liability for damages, including incidental, indirect, special, punitive, or consequential damages related to any factor beyond the actual malfunction
of our service. Any issues shall be reported, investigated and resolved via the proper support process.
No Warranties:
Providers disclaim any warranties on any equipment used for this service. If customer purchased phone hardware via this transaction, the customer must utilize ch the proper
channels with the hardware OEM.
Service Interruptions:
Providers may not be liable for service interruptions, delays, or failures, especially those caused by factors outside their control including but not limited to internet service provider issues and on-site network equipment or material issues.
911/E911 Services:
Providers may disclaim liability for issues related to 911/E911 service, including incorrect routing or inability to access emergency services.
Customer Responsibility:
The customer is responsible for ensuring accurate location information for 911/E911 calls and for any consequences of inaccurate information.
5. Termination:
Termination by Customer:
The customer can terminate service at any time but there may be early termination fees or other charges determined
by the remaining contract term.
Termination by Provider:
The provider may terminate the service for various reasons, including non-payment, violation of the terms and conditions, or other reasons outlined in the agreement.
6. Transferring to another carrier:
The customer is solely responsible for any and all number portability processes when porting to another carrier. Provider is not liable for any losses of phone numbers or services
if the proper porting procedures are not followed.
7. Data Protection and Privacy:
Data Collection:
Providers may collect and use your data for providing the service, billing, and other purposes.
Privacy Policy:
You should review the provider's privacy policy to understand how your data will be handled.
8. Other Important Terms:
Force Majeure:
Providers may not be liable for events beyond their control, such as natural disasters or acts of war.
9. Governing Law:
The terms and conditions will be governed by venues of federal jurisdiction except as stated in section 10.
10. Entire Agreement: The terms and conditions constitute the entire agreement between you and the provider,
superseding all prior agreements. This contract is legally binding and enforceable in all 50 U.S. states and is subject to applicable
local, state, and federal civil and criminal statutes.
